Redemption upon a Change of Control

Change of Control (Put)
(a) If a Change of Control Event occurs at any time while any Note remains outstanding, the holder of each Note will have the option to require the Issuer to redeem that Note on the Change of Control Redemption Date (as defined below) at the Change of Control Redemption Amount.

"Change of Control Redemption Amount" means 100 per cent. of the outstanding principal amount and any accrued but unpaid interest on the Notes.

A “Change of Control Event” will occur if a Change of Control occurs and:
(a) a Negative Rating Event occurs either:
(i) during the Change of Control Period; or
(ii) prior to the Change of Control Period, by reason of a Change of Control being anticipated by the relevant Rating Agency, and in each case, where the relevant Rating Agency announces publicly or confirms in writing to the Issuer that the Negative Rating Event resulted, in whole or in part, from the occurrence or anticipation of the Change of Control; or
(b) at the time the Change of Control occurs, none of the Issuer’s senior unsecured debt obligations carry a solicited credit rating from a Rating Agency and the Issuer does not, within the Change of Control Period, solicit and obtain a rating on such obligations which is Investment Grade.

A “Negative Rating Event” will occur if the solicited rating assigned to the Issuer’s senior unsecured debt obligations by any Rating Agency is:
(a) lowered by at least one full rating category (for example, from Ba2 to Ba3 in the case of Moody's or from BB+ to BB in the case of Standard & Poor’s, or such similar lower or equivalent rating) by that Rating Agency and the lowered credit rating is below Investment Grade; or
(b) withdrawn,
and is not within the Change of Control Period (or, in the case of a Negative Rating Event resulting, in whole or in part, from the anticipation of a Change of Control, within the period commencing on the date on which the Negative Rating Event occurs and ending 120 days thereafter) subsequently upgraded (in the case of a downgrade) or reinstated (in the case of a withdrawal) to a solicited rating which is Investment Grade.
“Early Redemption Amount (Call)” means with respect to each Note: if the Early Redemption Date (Call) is a date which is before the date which is 2 months prior to the Maturity Date, the higher of: the outstanding principal amount of such Note plus any accrued and unpaid interest and any accrued unpaid additional amounts which may be payable with respect to the Note to but excluding the Early Redemption Date (Call); and the sum, as determined by the Financial Advisor, of the present values of the remaining scheduled payments of principal and interest on such Note to be redeemed (not including any portion of such payments of interest accrued to the Early Redemption Date (Call)) discounted to the Early Redemption Date (Call) at the Reference Rate.

“Reference Rate” means, in respect of a Note, the semi-quarterly coupon matched asset swap rate expressed as a percentage per annum (calculated by referencing the semi-annual rate adjusted for the 6 month 3 month rate (as applicable)) as calculated by ICAP Australia Pty Ltd (“ICAP”) (determined using linear interpolation as necessary) to the maturity date of the Notes, as displayed on Bloomberg page “IAUS36” (“AUD IRS Fixing – 10AM”) or other electronic media at or around 10:00am (Sydney time) three business days prior to the Early Redemption Date (Call) (or, if ICAP no longer calculates that rate or is it not displayed by Bloomberg, the rate determined by the Financial Advisor
Early redemption at the option of the Issuer (Issuer call)

If the Pricing Supplement states that the Issuer may redeem all or some of the Notes of a Series before their Maturity Date under this Condition, the Issuer may redeem so many of the Notes specified in the Pricing Supplement at the Redemption Amount and any interest accrued on it to (but excluding) the redemption date. However, the Issuer may only do so if:

(a) the amount of Notes to be redeemed is, or is a multiple of, their Denomination;
(b) the Issuer has given at least 30 days’ (and no more than 60 days’) (or any other period specified in the Pricing Supplement) notice to the Registrar, the Holders, each other Agent and any stock exchange or other relevant authority on which the Notes are listed;
(c) the proposed redemption date is an Early Redemption Date (Call) specified in the Pricing Supplement; and
(d) any other condition specified in the Pricing Supplement is satisfied.

Early Redemption Amount (Call) Applicable
Early Redemption Date (Call) : On any date after the Issue Date which is specified by the Issuer in a redemption notice given to Holders
“Early Redemption Amount (Call)” means with respect to each Note: (a) if the Early Redemption Date (Call) is a date which is on or after the date which is 2 months prior to the Maturity Date, the outstanding principal amount of that Note plus any accrued and unpaid interest to but excluding the Early Redemption Date (Call);

Clean Up Condition

(a) If a Clean Up Condition (as defined below) subsists, the Issuer may redeem all (but not some) of the Notes before their Maturity Date in accordance with this Condition 10.11.
(b) If the Issuer wishes to redeem Notes under this Condition 10.11 it must give notice to the Holders of the relevant Series and the Registrar specifying the date for redemption of the Notes, which must comply with Condition 10.11(c).
(c) The date fixed for redemption of any Notes under this Condition 10.11 must be at least 20 Business Days' (and not more than 45 Business Days') after the date the notice is given.
(d) Notice given under Condition 10.11(b) is irrevocable and the Issuer must redeem the Notes by paying to the relevant Holders the applicable Redemption Amount and any accrued but unpaid interest on the Notes.
(e) In this Condition 10.11, “Clean Up Condition” means, at any time in respect of a Series, that the outstanding principal amount of the outstanding Notes of that Series at that time is less than 15% (or any other relevant percentage specified in the relevant Pricing Supplement) of the outstanding principal amount of all of the Notes issued from time to time under that Series (including Notes which are no longer outstanding).
